End User License Agreement (EULA)

This End User License Agreement (the "Agreement") is a legal agreement between you (either an individual or a single entity) and GamFa Ltd for the use of the GamFa application (the "Software").
1. Grant of License
GamFa Ltd grants you a non-exclusive, non-transferable license to use the Software for your personal, non-commercial use in accordance with the terms and conditions set forth in this Agreement.
- GamFa Ltd retains all rights to the Software not expressly granted to you herein.
- The license granted under this Agreement is limited to the version of the Software provided by GamFa Ltd and does not include updates or upgrades unless expressly stated otherwise.
- You may not sublicense, assign, or transfer the license granted herein.
- Any unauthorized use, reproduction, or distribution of the Software is strictly prohibited.
- The license is effective until terminated. Your rights under this license will terminate automatically without notice from GamFa Ltd if you fail to comply with any term of this Agreement.
- Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.
- Any modification, reverse engineering, or decompilation of the Software is strictly prohibited.
- GamFa Ltd reserves the right to revoke the license at any time without notice if you violate the terms of this Agreement.
- GamFa Ltd may provide updates or upgrades to the Software, which may require acceptance of new terms and conditions.
- You may not use the Software for any illegal or unauthorized purpose.
2. Restrictions
GamFa Ltd imposes certain restrictions on your use of the Software to protect its intellectual property and maintain its business interests. These restrictions include, but are not limited to:
- You may not modify, adapt, or translate the Software.
- You may not reverse engineer, decompile, or disassemble the Software, except to the extent that such activities are expressly permitted by applicable law.
- You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices included with the Software.
- You may not use the Software to infringe upon the rights of others, including but not limited to intellectual property rights, privacy rights, and contractual rights.
- You may not use the Software to engage in any illegal or unauthorized activities.
- You may not rent, lease, lend, sell, or sublicense the Software.
- You may not use the Software in any manner that could damage, disable, overburden, or impair the functionality of the Software.
- You may not access or use the Software for any purpose other than its intended purpose.
- You may not distribute or make the Software available over a network where it could be used by multiple devices or users at the same time.
- You may not use the Software to create derivative works based on the Software or any part thereof.
3. Intellectual Property Rights
GamFa Ltd owns all intellectual property rights in the Software. The Software is protected by copyright and other intellectual property laws and treaties. You acknowledge that the Software is licensed, not sold, to you.
- GamFa Ltd reserves all rights not expressly granted to you under this Agreement.
- You may not use GamFa Ltd's trademarks, trade names, service marks, logos, or any other branding elements without our prior written consent.
- You retain all intellectual property rights in any content that you create using the Software.
- Your use of the Software does not grant you any ownership rights in the Software or any of its components.
- You may not register or attempt to register any trademarks, trade names, service marks, logos, or any other branding elements that are confusingly similar to GamFa Ltd's trademarks.
- If you provide any feedback, suggestions, or ideas regarding the Software, you grant GamFa Ltd a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose.
- Any unauthorized use, reproduction, or distribution of GamFa Ltd's intellectual property is strictly prohibited and may result in legal action.
- If you believe that any content available through the Software infringes upon your intellectual property rights, you may contact GamFa Ltd to request removal of such content.
- GamFa Ltd respects the intellectual property rights of others and expects its users to do the same.
4. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from GamFa Ltd if you fail to comply with any term of this Agreement.
- Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.
- GamFa Ltd may terminate this Agreement at any time for any reason or no reason.
- Upon termination, all provisions of this Agreement which by their nature should survive termination shall survive termination.
- You may terminate this Agreement at any time by ceasing all use of the Software and destroying all copies of the Software.
- Termination of this Agreement will not relieve you of any obligations arising or accruing prior to such termination.
- Termination of this Agreement will not entitle you to any refund or compensation.
- If you violate any provision of this Agreement, GamFa Ltd may seek injunctive relief, specific performance, or other equitable relief.
- GamFa Ltd's rights and remedies under this Agreement are cumulative and not exclusive.
- If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
5. Limitation of Liability
GamFa Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Software.
- Any unauthorized access to or use of GamFa Ltd's servers and/or any personal information stored therein.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Software by any third party.
- Any errors or inaccuracies in the Software.
- Any content available through the Software.
- Your reliance on any information obtained from the Software.
- Any unauthorized access to or use of your personal information by any third party.
- Any disruption or cessation of transmission to or from the Software.
- Any actions taken by GamFa Ltd in response to any violation of this Agreement by you.
- Any other matter relating to the Software or this Agreement.
6. Indemnification
You agree to indemnify, defend, and hold harmless GamFa Ltd, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Software.
- Your violation of this Agreement or any applicable law or regulation.
- Your violation of any rights of any other person or entity.
- Any dispute between you and any third party.
- Any content you submit, post, transmit, or make available through the Software.
- Any breach of any representation, warranty, or covenant in this Agreement.
- Your negligence or willful misconduct.
- Any unauthorized access to or use of your account or password.
- Any viruses, trojan horses, worms, or other harmful code or content that you upload through the Software.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where GamFa Ltd is registered, without regard to its conflict of law principles.
- Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in the jurisdiction where GamFa Ltd is registered.
- The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.
- This Agreement constitutes the entire agreement between you and GamFa Ltd regarding the subject matter hereof.
- This Agreement may not be modified, amended, or supplemented except by a written instrument signed by both parties.
- If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
8. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved through good faith negotiations between the parties. If such negotiations fail, the dispute shall be resolved through arbitration or litigation as determined by GamFa Ltd.
- The language of any arbitration shall be English.
- The arbitral award shall be final and binding upon the parties and enforceable in any court of competent jurisdiction.
- The prevailing party in any arbitration or litigation shall be entitled to recover its reasonable attorneys' fees and costs.
9. Miscellaneous
This Agreement may be assigned by GamFa Ltd without restriction. You may not assign this Agreement without the prior written consent of GamFa Ltd.
- This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
- No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
- If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
- GamFa Ltd's failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
- This Agreement constitutes the entire agreement between you and GamFa Ltd regarding the subject matter hereof.
